Terms of Service

1. Who this agreement is with

Passcode is operated by Passcode Technologies Limited, registered in Nigeria. By creating an account you agree to these terms.

2. What Passcode is

Passcode is software your community uses to manage access, dues and communication. We provide the platform. We do not run your estate, office or school. Decisions about who may enter, what you are charged, and whether your request to join is approved are made by the administrators of that community — not by us.

3. Your account

• You sign in with your phone number and a one-time code.
• Keep your phone secure. Anybody holding your unlocked phone can act as you, which is why a separate PIN is required before money leaves your balance.
• Give accurate information. A false name or address on a community register may get your membership revoked by that community.
• You must be 18 or over to hold a Passcode balance.

4. Money

• Your Passcode balance is money you have put in. It settles against what you owe the communities you belong to.
• Payments are processed by a licensed third-party provider. Card details are entered on their checkout and are never seen by Passcode.
• Fees are shown before you confirm a payment. We do not take a fee you have not been shown.
• Sending money out requires a one-time identity check and a transaction PIN. Transfers are irreversible once sent. Check the account name we show you before confirming — it comes from the receiving bank, and if it is not the person you meant, the number is wrong.
• Dues and charges are set by your community, not by us. Disputes about what you have been billed are between you and its administrators. We can show you the record; we cannot change what you owe.

5. Access and gates

A visitor pass is a request to a gate, not a guarantee of entry. Security officers may refuse entry at their discretion, and communities may suspend access for reasons of their own, including arrears where their rules allow it.

Passcode is not a security service. We do not employ the officers at your gate, we do not monitor your premises, and we cannot guarantee that a barrier, a reader or a phone will work at any given moment. Do not rely on this app alone in an emergency — call the emergency services.

6. What you may not do

• Share a visitor pass with anyone other than the visitor it was issued for.
• Raise a false emergency alarm.
• Use another person’s account, or let somebody use yours.
• Attempt to interfere with the service, or to access records belonging to another community or another person.
• Use Passcode to move the proceeds of crime, or for any unlawful purpose.

7. Suspension

We may suspend an account we reasonably believe is being used for fraud or is subject to a legal or regulatory requirement. Where we do, we will tell you unless we are legally prevented from doing so.

8. Availability

We work to keep Passcode running but do not promise uninterrupted service. Networks fail, providers have outages, and phones run out of battery. Your community should have a way to let people in that does not depend on this app.

9. Our liability

To the extent the law allows, we are not liable for losses arising from decisions made by your community’s administrators, from being refused entry, from a failure of a gate or reader, or from a delay by a bank or payment provider. Nothing here limits liability for fraud, or for anything that cannot lawfully be limited.

10. Closing your account

You may close your account at any time — see Delete your account. Withdraw or settle your balance first.

11. Changes

We may update these terms. The date at the top will change, and we will tell you in the app if the change is significant. Continuing to use Passcode after that means you accept the new terms.

12. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction over any dispute.
